1About these terms
These terms are between you and Quvor Enterprises (“Quvor”, “we”, “us”), based in Mumbai, India.
Sections 2 and 12 apply to everyone who uses this website. Sections 3 to 11 apply to clients who engage us. If you and Quvor sign a separate agreement or statement of work, that agreement takes priority over these terms wherever they differ.
To engage us you must be at least 18 and have the authority to bind the business you represent.
2Using this website
You may read and share this website for normal, lawful purposes. You may not:
- break the law or infringe anyone’s rights while using it;
- try to disrupt, overload or gain unauthorised access to the site or its systems;
- use it to send spam or distribute malware;
- copy its content or design for commercial use without our written permission.
The content on this site, including text, case studies, drawings and the Quvor name and logo, belongs to Quvor or is used with permission.
We keep the site accurate, but it is provided as general information, not as a quote or a professional recommendation for your situation. How we handle personal data is described in our privacy policy.
3Our services
We provide product engineering services: designing, building and running web and mobile software, platforms and infrastructure, and related consulting. Most of our work is remote.
The scope, deliverables, timeline and team for each engagement are agreed in writing before work starts. Changes to scope are agreed in writing too.
4Fees and payment
Fees are agreed in writing for each engagement, either as a monthly retainer or a project fee. Unless agreed otherwise, invoices are in US dollars (USD) or Indian rupees (INR) and are due within 7 days.
We may change our rates for future work with reasonable written notice. Changes never apply to work already invoiced.
Third-party costs, such as hosting, licences and paid services used for your product, are paid by you or passed through at cost, as agreed.
5Refunds and cancellation
Cancellation. You can cancel a retainer or an ongoing engagement by giving at least 14 days’ written notice before the next billing cycle. Email contact@quvor.com with your name, the project or retainer, and the reason. With less than 14 days’ notice, the next billing cycle may still be charged.
Refunds. Because our work is custom and delivered as it happens, payments are non-refundable. This includes deposits, milestone payments, retainers and add-on services. We do not refund for a change of mind, for services partly used, or for delays caused by missing information, feedback or approvals. This does not take away any refund the law entitles you to, or anything your agreement with us says.
Billing errors. If you think you have been charged in error, tell us within 7 days of the transaction and we will put it right.
6Your responsibilities
As a client, you agree to:
- give us the information, access, materials and feedback we need, on time;
- make sure you have the rights to any content, data or code you give us;
- review and approve deliverables before they go to production;
- use what we build lawfully.
7Intellectual property
Work we create for you remains ours until you have paid for it in full. Once paid, ownership of the deliverables created specifically for you transfers to you.
We keep ownership of our own tools, libraries, know-how and anything we created before or outside your engagement. Where these form part of your deliverables, you receive a permanent licence to use them as part of your product.
Open-source components remain under their own licences.
We may mention that we work with you, and describe the work in general terms, unless you ask us not to.
8Confidentiality
We keep your business information, code and data confidential and use them only to do our work for you. This survives the end of an engagement.
9Liability
We are not liable for indirect or consequential losses, such as lost profits, revenue or data, arising from the website or our services.
Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.
Nothing in these terms limits liability that cannot be limited by law.
10Ending an engagement
Either side can end an engagement in writing, following the notice in section 5.1 or in your agreement. We may also suspend or end work if invoices are seriously overdue or these terms are seriously breached.
When an engagement ends, you pay for work done up to that point, and we hand over the work you have paid for, along with access to your systems.
11Governing law
These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Mumbai, India.
12Changes and contact
We may update these terms and will change the date at the top when we do. Changes do not affect engagements already agreed in writing. If any part of these terms cannot be enforced, the rest still applies.
